Terms of Service & End User License Agreement

1. Acceptance

By creating an account or using TRACEBUILD (the "Service"), you agree to these Terms of Service and End User License Agreement (together, the "Terms") and to the Privacy Policy. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization. If you do not agree, do not use the Service.

2. The Service and early access

TRACEBUILD provides PDF markup, measurement, construction takeoff, and estimating tools, delivered as a browser application ("Lite") and a Windows desktop application ("Pro"). During early access, TRACEBUILD Lite is provided free of charge and the Service may change, be limited, or be interrupted at any time without notice. Paid plans, when offered, are governed by the pricing and terms presented at the point of purchase.

3. Your pricing data and the license you grant

When you enter material and labor pricing into the Service, you grant TRACEBUILD the following license so that it can operate the cost-estimation features and build and improve the shared cost dataset described in the Privacy Policy:

6. Software license (Pro desktop application)

The Pro desktop application is licensed, not sold. Subject to these Terms and any active subscription, TRACEBUILD grants you a limited, non-exclusive, non-transferable, revocable license to install and use the application on devices you control, for your internal business or personal use. You may not: copy the application except for reasonable backup; distribute, sublicense, sell, or lease it; modify, reverse engineer, decompile, or disassemble it except as permitted by law; remove proprietary notices; or use it to build or train a competing product.

The application, including any bundled AI models and components, remains the property of TRACEBUILD and its licensors. Third-party and open-source components distributed with the application are licensed under their own respective licenses, which are reproduced in the application's notices and control over these Terms with respect to those components. This license terminates automatically if you breach these Terms or your subscription ends; on termination you must stop using and remove the application.

7. Estimating disclaimer

Built-in unit costs are illustrative budgetary figures, not a published cost database and not professional or financial advice. Verify pricing and productivity against current local conditions before bidding. You are responsible for your own estimates and bids.

8. Warranty disclaimer and limitation of liability

THE SERVICE AND SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. TRACEBUILD DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY ESTIMATE OR RESULT WILL BE ACCURATE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRACEBUILD WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL. TRACEBUILD'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO TRACEBUILD IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

9. Term and termination

These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms or to protect the Service. Sections that by their nature should survive termination (including data-license, ownership, disclaimer, and liability provisions) survive.

10. Governing law

These Terms are governed by the laws of the United States and the state in which TRACEBUILD is organized, without regard to conflict-of-laws rules.

11. Changes to these Terms

We may update these Terms. Material changes will be reflected in the version date above, and continued use after an update constitutes acceptance.
